Creator Policy – Terms and Conditions Below are terms related to the marketplace agreement between yourself (the Creator) and the Student Shed. We agree to work together to ensure a smooth working relationship and give a quality product for customers. 1. Your Marketplace account with The Student Shed Provide accurate information about yourself and choose an appropriate name for your storefront. If you decide to not have your full name serve as the name associated with your account, you may not use language that is offensive, vulgar, or infringes someone’s intellectual property rights, or otherwise violates the policy. You are responsible for your account. You’re solely responsible for any activity on your account. If you’re registering as a business entity, you personally guarantee that you have the authority to agree to the terms in this policy on behalf of the business. Also, your accounts are not transferable. These terms don't create any agency, partnership, joint venture, employment, or franchisee relationship between you and The Student Shed 2. Your Content Content that you post using our Services is your content (we’ll refer to it as “Your Content”). We don’t make any claim to it. That includes anything you post using our Services (like shop names, profile pictures, listing photos, listing descriptions, reviews, comments, videos, usernames, etc.). A. Responsibility for Your Content. You understand that you are solely responsible for Your Content. You represent that you have all necessary rights to Your Content and that you’re not infringing or violating any third party’s rights by posting it. B. Permission to Use Your Content. By posting Your Content through our Services, you grant The Student Shed a license to use it. We don’t claim any ownership to Your Content, but we have your permission to use it to help The Student Shed function and grow. That way, we won’t infringe any rights you have in Your Content and we can help promote your stuff. C. Rights You Grant The Student Shed When you post or upload Content to our Services, you grant to us limited rights to store, use, and display, and provide access to the Content you post as necessary to provide our Services, such as to display your Resource in your store and in search results, to make your Resources available for download, and to display and promote your Resources on The Student Shed, through email, and ads on other sites or search engines, and through other marketing campaigns. For these purposes, you grant to us a nonexclusive, irrevocable, perpetual (except as otherwise provided herein), worldwide, sub licensable license to exercise any copyright, trademark rights, or other rights in and to your Content necessary to provide our Services to you and our other Users. D. Reporting Unauthorized Content. The Student Shed has great respect for intellectual property rights, and is committed to following appropriate legal procedures to remove infringing content from the Services. If content that you own or have rights to has been posted to the marketplace without your permission and you want it removed, please let us know by contacting us at info@thestudentshed.com. If Your Content infringes another person’s intellectual property, we will remove it if we receive proper notice. We’ll notify you if that happens. E. Inappropriate, False, or Misleading Content. There are certain types of content we don’t want posted on The Student Shed marketplace (for legal reasons or otherwise). You agree that you will not post any content that is abusive, threatening, defamatory, obscene, vulgar, or otherwise offensive. You also agree not to post any content that is false and misleading or uses the Services in a manner that is fraudulent or deceptive. 3. Marketplace Content Guidelines The Student Shed is a marketplace for educational resources for primary, secondary, and professional academic levels. You are welcome to post: Online courses Activities Lesson plans Task cards Printables Interactive notebooks Original books and poems Classroom decor and organizational materials Worksheets Teacher planning calendars Educational audio or musical resources Instructional videos for teachers or students Products that aid in the creation of resources, including fonts, clip art, and other graphics This list is not exhaustive and we aim to be as inclusive as possible, so don't hesitate to reach out if there's something you think we should add to this list. There are also a few things that aren't appropriate for TheStudentShed.com. Don't post: Infringing resources. Don't post resources that aren’t your original authorship (your work has to be your own). Resources requiring many additional steps to gain access. All digital resources should be accessible and downloadable directly from TheStudentShed.com unless the file exceeds our file limit. The downloadable resource may include a link to a third party hosting site. Buyers should not be required to give their email addresses or other personal information in order to gain access to digital purchases. Resources directing Buyers to another sales channel. Don't post resources that link to other online retailers or e-commerce sites. Non-educational goods. Products whose primary purpose is not instructional (gifts, apparel, marketing or promotional materials, ads, and so on) aren't allowed on TheStudentShed.com. Duplicate Listings. Each resource can be listed only once on TheStudentShed.com. Resources for an inconsistent price. You’re welcome to offer your work in other online retail outlets and marketplaces, but it’s important that your Student Shed Buyers are not being charged a higher price or being charged for something that you’ve posted for free somewhere else. Inappropriate Content. Please make sure that the content you're posting to The Student Shed is respectful of our community. 4. Prohibited Items Policy The Student Shed prohibits certain types of items from the TheStudentShed.com and TheStudentShed.net marketplaces. Some items present legal risks to our community; others are inconsistent with our values, are harmful to our members, or simply are not in the spirit of TheStudentShed.com. This policy explains what is prohibited or restricted on TheStudentShed.com. By opening a Student Shed shop, you’re agreeing to this policy. The following types of items are prohibited or restricted on TheStudentShed.com 1. Products promoting the use of Alcohol, Tobacco, Drugs, Drug Paraphernalia, and Medical Drugs 2. Illegal Items, Items Promoting Illegal Activity, and Highly Regulated Items 3. Internationally Regulated Items 4. Pornography and Mature Content 5. Violent Items: Items that Promote, Support, or Glorify Violence 5. Creator Guidelines In addition to our general guidelines, these additional rules apply when you share and sell content on TheStudentShed.com: Follow our content guidelines. The Student Shed is a place where persons share, buy, and sell educational materials and resources. These guidelines provide information on the types of resources that we currently support. Don’t post resources that fall outside of these guidelines. Set and honor your prices. How you price your resources is up to you. You must offer the full material advertised in your resource listing for the price listed, and you cannot require members to pay any additional fees to access your resource. You may not charge more on TheStudentShed.com for a resource that is offered for free or less elsewhere. Be accurate and honest. TheStudentShed.com community is built on trust. You should only sell resources that you’ve produced yourself. Make sure your resource is complete and accurate. Don’t be misleading about what your resource is or includes. It’s your responsibility to ensure that the titles, descriptions, and other materials in your resources are truthful, accurate and free of mistakes and technical issues. Maintain accessibility and fix technical issues. By offering resources for sale through our Services, you agree to provide undisrupted access to your resources to members who have purchased them. Each resource file you upload to our service must be complete, fully accessible, and in working condition at all times. This means, if any part of your resource content is hosted on another platform or relies on a third party service, you must maintain third party content at all times. You may not require the purchase of any additional software or equipment not listed as required in your resource description. You may not require the purchase, subscription, of an account with any other websites or services to access your full resource. Respect intellectual property rights. Your resources must only contain material that you own the rights to (copyright, trademark, and other rights) or that you have the legal right to use commercially. When you upload a resource to our services, you represent and warrant to us and to members who may use your resource that you have the necessary rights to use all of the content you include in your resource, that neither TheStudentShed.com nor any member will have to obtain a license or pay royalties to any third parties, and that the intended use of your resource by TheStudentShed.com or a member will not infringe on anyone’s rights (including copyrights, trademarks, or other intellectual property rights, personality, publicity, or privacy rights). Don’t direct Users to alternative sales channels. TheStudentShed.com should not be used as a way to drive traffic to another website or business. You may not include hyperlinks to alternative sales channels such as another online marketplace or e-commerce site where your resources can be purchased. Although not mandatory, we advise that you offer a free sample or free product to members of the Student Shed community. By doing so, members will get an opportunity to experience the quality of your product. Your online store will operate in accordance with The Student Shed Marketplace operating hours. Above all be a supportive and respectful community member, let us work together to develop and grow our amazing eLearning community. 6. Your rights and obligations as a Student Shed Creator Creators agree to resolve any disputes directly with a buyer. In the event that a dispute is escalated to The Student Shed Support Team, The Student Shed reserves the right to issue a refund to a buyer if a transaction is found to be in violation of the Creator Policy. In the event that a buyer submits a chargeback, TheStudentShed.com will respond to the credit card networks on behalf of the creator involved in the transaction; the creator agrees to provide any requested information to us within five calendar days of the request. TheStudentShed.com reserves the right to recoup funds associated with buyer chargebacks. 7. Appointment of The Student Shed as Limited Collection Agent for Creators Each creator appoints The Student Shed as its agent for the limited purpose of receiving, holding and settling payments for the creator. The Student Shed will settle payments that are actually received by The Student Shed to each creator, less any amounts owed to The Student Shed. Each creator agrees that a buyer payment received by TheStudentShed.com, on behalf of creator, satisfies the buyer's obligations to make payment to creator, regardless of whether The Student Shed actually settles such payment to creator. If The Student Shed does not settle any such payments as described in these Terms to a creator, the creator will have recourse only against The Student Shed and not the buyer. 8. Deposits A. Payment Account. All funds resulting from a completed transaction will be reflected as a balance in a creator’s payment account. Transactions are considered complete once the payment is approved by The Student Shed or our fraud analysis service provider. Any refunds, adjustments, or other amounts paid to buyers in connection with purchases, or for funds received since the last payment day, are also applied to the creator’s payment account balance. Funds in a payment account balance are eligible for deposit (the “Available Balance”) into a creator’s bank account at the end of any applicable deposit delay, reserve, or hold period as determined by the creator’s bank. B. Scheduled Deposits. The Student Shed will instruct our payments partners to initiate a deposit of a creator’s Available Balance into the creator’s bank account on a weekly, biweekly, or monthly basis. The Student Shed initiates the deposit request. The actual timing of the deposit may depend on how quickly a creator’s bank processes the request. 9. Recoupment We reserve the right, in our sole discretion, to seek reimbursement from a creator in any of the following circumstances: (a) we provide a refund to a buyer because a creator did not promptly deliver the goods or (b) we discover erroneous or duplicate transactions related to a creator, (c) we receive a chargeback from a buyer's credit card issuer or reversal of payment for the amount of a buyer's purchase from a creator, or (d) a creator does not act in accordance with The Student Shed policy. 10. Payment Processing Fees A. Overview. TheStudentShed.com charges a fee (the “Payment Processing Fee”) for processing each transaction through TheStudentShed.com Payments. The fee amount will be assessed on the gross order amount, including shipping and tax (if applicable). Payment Processing Fees will be reflected in your payment account. The Payment Processing Fee will be deducted from the total amount of the payment at the time the payment is considered complete. We reserve the right to modify the Payment Processing Fee at any time. In the event of any partial or full refunds credited back to a buyer, the Payment Processing Fee and other applicable fees will be recalculated based on the adjusted sale price. The difference between the original Payment Processing Fee and the adjusted Payment Processing Fee will be applied to the refund amount being credited back to the creator. Other applicable fees will be refunded on the creator’s bill. B. Fee Amount. Payment processing fees vary based on the location of a creator’s bank account. 11. Changes to the Terms We may update these Terms from time to time. If we believe that the changes are material, we’ll definitely let you know by doing one (or more) of the following: (1) posting the changes through the website or (2) sending you an email or message about the changes. That way you can decide whether you want to continue using the Services. Changes will be effective upon the posting of the changes. You are responsible for reviewing and becoming familiar with any changes. Your use of the Services following the changes constitutes your acceptance of the updated Terms. 12. Termination by You You may terminate your account with The Student Shed at any time from your account settings. Terminating your account will not affect the availability of some of Your Content that you posted through the marketplace prior to termination. 13. Termination by The Student Shed We may terminate or suspend your account (and any related accounts) and your access to the marketplace at any time, for any reason that does not comply with the creator policy, with advance notice. If we do so, it’s important to understand that you don’t have a contractual or legal right to continue to use our Services, for example, to sell or buy on our website. If you or The Student Shed terminate your account, you may lose any information associated with your account, including Your Content. 14. We May Discontinue the Services The Student Shed reserves the right to change, suspend, or discontinue any of the Services at any time, for any reason. We will not be liable to you for the effect that any changes to the Services may have on you, including your income or your ability to generate revenue through the Services. 15. Refund Policy At The Student Shed, the vast majority of resources purchased are delivered electronically. Unlike a t-shirt or a book, you can't (really) return a PDF, Word document, or other file once it’s downloaded. For that reason, all sales of digital content hosted on The Student Shed are considered final and nonrefundable. We get though that things don't always go as planned, so we offer refunds in a few limited circumstances. If a purchase falls into one of the exceptions listed below, buyers may be eligible for a refund. Refund requests must be submitted within one year of your purchase and are granted on a case-by-case basis. Compromised Resource File - A resource file is damaged or is missing content. Example: A thumbnail or preview is uploaded instead of the resource itself. Misrepresentation- A resource preview and/or description misrepresents what is actually contained in the resource. (Requests are subject to The Student Shed review.) Example: A product description states there are 50 multiple choice questions in a resource but instead there are 50 true or false questions. Technical Limitations— A buyer is unable to access a resource because the technical requirements aren't included in the resource description. Example: A resource is a Notebook file but this is not listed anywhere on the product page. Duplicate Purchase— The same resource is purchased twice. Example: A buyer purchase a resource contained in a specific bundle and then later purchase that bundle within one year of the original purchase. File Download Status— A buyer purchased a resource but never downloaded the file from your "My Purchases" page. (Verified by The Student Shed). If a buyer’s purchase meets these guidelines, he/she can submit a refund request.
